Terms of Service and Terms of Sale

1. About these terms
These Terms of Service and Terms of Sale ("Terms") are an agreement between you and Maxwell Industries LLC, doing business as Kitsap Component ("Kitsap Component," "we," "us"). They govern your use of kitsapcomponent.com (the "Site") and any purchase you make from us. By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or order from us. We may update these Terms from time to time; the version in effect when you place an order governs that order.
2. Who can order
You must be at least 18 years old and able to enter a binding contract. By ordering, you confirm that the information you give us is accurate and that you are authorized to use the payment method you provide.
3. Products and descriptions
We sell specialized electronics, including diagnostic interface cables, refurbished diagnostic laptops and tablets, a digital resource product, and a small number of 3D-printed and miscellaneous items. Many of our products are specialized, used, or refurbished, and are intended for knowledgeable buyers in the elevator-service trade. It is your responsibility to confirm that a product is compatible with your equipment and suitable for your intended use before you buy, including verifying fitment, dimensions, pinouts, and application for your specific situation. Because our inventory is specialized and often single-quantity, availability can change quickly. We may correct errors, change product information, or cancel an order if a product was listed incorrectly, including an incorrect price, and we will refund any payment for an order we cancel for that reason.
4. Pricing, payment, and tax
Prices are in US dollars. Payment is processed by Stripe; we do not see or store your full card details. By submitting an order you authorize us, through Stripe, to charge your payment method for the total shown, including any applicable sales tax and shipping. Sales tax is calculated at checkout where we are required to collect it. Placing an order is an offer to buy; our acceptance happens when we charge your payment method and send a confirmation. We may decline or cancel an order for reasons including suspected fraud, pricing errors, or stock that is no longer available.
5. Shipping and risk of loss
We ship to the address you provide, so please make sure it is correct. We are not responsible for delays caused by carriers or by an incorrect or undeliverable address. Risk of loss passes to you when the carrier takes possession of your order. If your package is lost or damaged in transit, contact us and we will help you work with the carrier, though we cannot guarantee a carrier's outcome.
6. Products sold AS-IS; limited warranties
Except where we expressly state otherwise in writing, and except for the refurbished-hardware promise described below and in our Returns Policy, all products are sold "AS IS" and "WITH ALL FAULTS." To the fullest extent allowed by law, we disclaim all warranties, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that any product will be compatible with your equipment, uninterrupted, error free, or fit for your particular use. This is especially true of used and refurbished equipment and of specialized cables and adapters, which you must confirm are correct for your application before ordering. Some states do not allow the exclusion of certain implied warranties, so some of the above may not apply to you; in that case, any implied warranty is limited to the shortest period and narrowest scope allowed by law.
7. Returns, refunds, and the refurbished-hardware exception
Our full Returns Policy is part of these Terms and is available at /returns. In summary: all sales are strictly final. Because of the specialized nature of our inventory, we do not accept returns, remakes, or refunds for items ordered by mistake, in the wrong configuration, or found to be incompatible with your equipment. This applies to custom and 3D-printed components and to new cables, adapters, and interface leads. Refurbished diagnostic hardware exception: refurbished laptops and tablets are tested before they ship; if a refurbished item arrives not working as described, contact us right away at Josh@kitsapcomponent.com and we will make it right. This does not cover later wear, accidental damage, misuse, software or licensing issues that are your responsibility, or incompatibility you could have confirmed before ordering. If anything in this summary appears to conflict with the full Returns Policy, the full Returns Policy controls.
8. Digital products: Resource Drive license
When you buy the Resource Drive (Field Technician Edition), we grant you a limited, non-exclusive, non-transferable license to use its contents for your own personal or internal business use as a working reference. You may not copy, resell, redistribute, publish, sublicense, or share the contents; post them publicly; or use them to create a competing product or compilation. The contents may include third-party manuals, software, and materials owned by others; we make no claim of ownership over third-party materials and no warranty about them. You are responsible for ensuring that you are properly licensed and authorized to use any software or materials included, and for complying with the original manufacturers' terms and all applicable laws. Please also read our Software and Firmware Disclaimer. Because of the nature of digital products, all sales of the Resource Drive are final once access or delivery has been provided, except where a refund is required by law.
9. Software and firmware on devices
Refurbished diagnostic laptops and tablets may come with preloaded software and firmware. That software is provided AS-IS and is governed by our separate Software and Firmware Disclaimer, which is part of these Terms. In short, you are solely responsible for confirming that you are properly licensed and authorized to use any software on the device and for complying with the original manufacturers' terms and all applicable laws.
10. Acceptable use
When you use our Site, you agree not to: use it for any unlawful purpose or in violation of these Terms; attempt to gain unauthorized access to the Site, our systems, or other users' data; interfere with or disrupt the Site; misrepresent your identity, use a stolen payment method, or commit fraud; infringe our intellectual property or that of others; or copy, resell, or commercially exploit the Site's content without our permission. We may suspend or refuse service, and cancel orders, if we reasonably believe you have violated these Terms.
11. Intellectual property
The Site and its content, including text, product descriptions, photographs, graphics, and logos, are owned by Maxwell Industries LLC or our licensors and are protected by law. The names Kitsap Component and Maxwell Industries are our brands. We grant you permission to view the Site for the purpose of shopping with us, and no other rights in our content or brands.
12. Limitation of liability
To the fullest extent allowed by law:
- Our products and the Site are provided without warranties beyond those expressly stated.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, downtime, equipment damage, or business interruption, arising out of or related to your purchase or use of our products or the Site, even if we have been advised of the possibility of such damages.
- Our total liability for any claim arising out of or related to a product or order will not exceed the amount you paid us for that product or order.
Our products are tools used in skilled trades. You are responsible for using them safely, by qualified people, and in accordance with all applicable codes, manufacturer instructions, and safety practices. We are not responsible for how our products are used or for the results of any diagnostic or service work you perform. Some states do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Maxwell Industries LLC and Kitsap Component from claims, losses, and expenses, including reasonable attorneys' fees, arising out of your misuse of a product, your violation of these Terms, your violation of any law, or your infringement of someone else's rights.
14. Governing law and disputes
These Terms and any purchase are governed by the laws of the State of Washington, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Kitsap County, Washington have jurisdiction over any dispute, and you consent to venue there, unless a law that applies to you provides otherwise. Nothing in these Terms takes away a non-waivable right you have under the consumer-protection law of the state where you live. 15. Miscellaneous
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Returns Policy, Privacy Policy, and Software and Firmware Disclaimer, are the entire agreement between you and us about the Site and your purchase.
